Welcome to 1mn.ai. These Terms & Conditions ("Terms") are a binding agreement between you and 1mn.ai ("1mn", "we", "us", or "our"), the company operating the 1mn.ai platform and related websites, applications, and services (together, the "Service"). They govern your access to and use of the Service.

In plain English. 1mn is an autonomous AI platform that helps you run a software business end to end. It works in recurring "loops" across your product, marketing, and support — testing your product and proposing code changes, writing content and auditing your SEO, running ads, triaging support tickets and customer feedback, and more — often on its own schedule. Because the Service can take real actions on your behalf, please read these Terms carefully, especially the sections on autonomous AI, your responsibilities, advertising, and disclaimers.

By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Who may use the Service

You may use the Service only if you can form a legally binding contract with us, you are at least 18 years old, and you are not barred from using the Service under applicable law. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

The Service is built for operators of software businesses who understand and accept the nature of autonomous and semi-autonomous AI systems (see Section 4). It is not intended for consumers seeking professional advice, nor for use in high-risk settings where an error could lead to death, personal injury, or severe physical, environmental, or financial harm.

2. The Service and how it works

In plain English. You connect your website and tools; 1mn builds an understanding of your business and then runs "loops" — recurring units of work where an AI agent discovers something to do, does it, checks the result, and either applies it or hands it back to you.

1mn provides an autonomous AI platform that runs the recurring "loops" a software business needs — across product, marketing, and support. Depending on the features you enable, the Service may, among other things:

• analyze your website and create a profile of your business, brand, and competitors;
• generate marketing content, SEO audits, reports, recommendations, and other artifacts;
• draft, deploy, monitor, and optimize advertising campaigns on connected advertising platforms, funded by a prepaid budget wallet;
• run automated tests of your product using AI "personas" and produce feedback;
• propose and, where you connect a code repository, draft code changes as pull requests;
• triage product errors and end-user feedback received through our software development kit ("SDK"); and
• operate on schedules or triggers, with the AI agent deciding when and whether to act.

The Service executes much of this work as autonomous agent "runs" in isolated cloud environments, using third-party large language models and other AI systems. The specific features available to you depend on your plan, the integrations you connect, and the configuration you choose. We may add, change, or remove features, loops, integrations, and capabilities over time (see Section 15).

3. Accounts, plans, and credits

Account. You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Subscriptions and credits. Access to paid features is sold on a subscription basis and/or metered through credits, as described at the point of purchase. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled, and fees are billed in advance through our third-party payments provider. Credits and plan allowances may expire at the end of a billing cycle, are not redeemable for cash, and are consumed as the Service performs work (including AI processing).

Changes to pricing. We may change prices, plan features, and credit allowances on a prospective basis. Material changes affecting an active subscription take effect at your next renewal.

Cancellation and refunds. You may cancel at any time, effective at the end of the then-current billing period. Except where required by law or expressly stated, fees and amounts already spent (including AI usage and advertising spend) are non-refundable.

4. Agentic AI — important notice

In plain English. 1mn is an agent, not just a chatbot. It can act on its own and take real actions that have real consequences — publishing content, opening pull requests, and (within limits you set) creating, launching, scaling, and spending money on advertising. You remain responsible for what it does on your behalf. Use it only if you understand how autonomous AI works and are prepared to review its work.

You acknowledge and agree that:

1. The Service is autonomous or semi-autonomous. It uses AI agents that plan and take actions with limited or no human intervention, including on schedules and triggers when you are not present.

2. AI outputs and actions are probabilistic and may be wrong. Generative AI can produce content or decisions that are inaccurate, incomplete, outdated, biased, or otherwise inappropriate ("hallucinations"), and may misinterpret your instructions, your data, or the systems it interacts with. Outputs are not statements of fact or professional advice.

3. You must review before relying. You are responsible for reviewing AI-generated outputs and actions, applying your own independent judgment, and verifying anything important before relying on it, publishing it, or letting it affect your business, your customers, or third parties. Do not use the Service if you are unwilling or unable to exercise this oversight.

4. Human controls and their limits. We provide guardrails — for example, approval gates for higher-risk actions, spend caps on advertising, and review steps for code changes. These reduce, but do not eliminate, risk. Where you enable more autonomous behavior (such as advertising autopilot), you accept the corresponding increase in risk, and you authorize the resulting actions within the limits you configure.

5. You are responsible for actions you authorize. Actions the Service takes on connected accounts, advertising platforms, repositories, communication channels, or other systems are taken on your behalf and at your direction, and you are responsible for them as if you had taken them yourself.

6. Not professional advice. The Service does not provide legal, financial, tax, medical, or other professional advice, and AI outputs must not be treated as a substitute for a qualified professional.

5. Your responsibilities and acceptable use

You agree to use the Service lawfully and in line with these Terms. In particular, you will:

• provide accurate information and have the rights and permissions necessary for any website, content, data, credentials, or systems you connect or submit;
• comply with all laws and with the terms, policies, and program rules of any third-party platform you connect (including advertising, analytics, search, code-hosting, and messaging platforms);
• review and supervise the Service's outputs and actions, and configure guardrails appropriate to your risk tolerance; and
• obtain any consents and provide any notices required for data you bring into the Service, including data about your own end users (see Section 7 and the Privacy Policy).

You will not, and will not permit anyone to: use the Service to create or distribute unlawful, infringing, deceptive, harassing, or harmful content; generate spam or send communications in violation of anti-spam or telemarketing laws; misrepresent AI-generated content where disclosure is required; infringe intellectual-property, privacy, or publicity rights; attempt to bypass guardrails, spend limits, rate limits, or security controls; reverse engineer or scrape the Service except as permitted by law; use the Service to build a competing product or to train competing models; interfere with the integrity or performance of the Service; or use the Service in any high-risk or prohibited manner described in Section 1.

We may set and enforce technical and usage limits, and we may review, restrict, or remove content or actions that we reasonably believe violate these Terms or applicable law.

6. Connected accounts and third-party integrations

In plain English. When you connect a tool (your ad accounts, analytics, search console, repository, messaging, etc.), you let 1mn read from and act through it on your behalf. Those tools have their own terms, and you have to follow them.

The Service interoperates with third-party products and platforms that you choose to connect. When you connect an integration, you authorize us to access, process, and take actions through it on your behalf to provide the Service. Your use of each third-party platform remains subject to that third party's own terms and policies, and you are responsible for maintaining the rights and permissions necessary for the integration. We are not responsible for third-party products, their availability, or their acts or omissions, and a third party's changes may affect or interrupt a feature.

7. Advertising and the budget wallet

In plain English. 1mn can run ads for you. You pre-fund a wallet; we manage spend against it and take a management fee; the agent can create, launch, pause, and scale campaigns within the caps you set. Ad results are never guaranteed, and you must follow each ad platform's rules.

If you use advertising features, the following additional terms apply:

• Agency model and wallet. Advertising may run through app-managed accounts on supported platforms. You fund a prepaid budget wallet; deposits may be subject to a management fee disclosed at the time of deposit. The wallet is an internal prepaid balance used to authorize and reconcile campaign spend.
• Authorization to spend. You authorize the Service to create, configure, launch, pause, scale, and otherwise manage campaigns, and to spend from your wallet, within the objectives, budgets, caps, and automation settings you configure (including any "autopilot" you enable). Spend is gated by your wallet balance and the limits you set.
• No guarantee of results. Advertising performance depends on many factors outside our control. We do not guarantee impressions, clicks, conversions, return on ad spend, account approval, or that any campaign or creative will be accepted by a platform.
• Platform compliance. You are responsible for ensuring your products, claims, creatives, targeting, and landing pages comply with each advertising platform's policies and with applicable advertising, consumer-protection, and data-protection laws. Platforms may reject, pause, or remove campaigns and may suspend accounts.
• Fees and reconciliation. Management fees and deposits are generally non-refundable. The wallet reconciles against reported platform spend; small timing differences may occur, and campaigns may be paused automatically when the wallet is exhausted.

8. Intellectual property and content

Our IP. The Service, including its software, models, prompts, designs, and documentation, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted.

Your content. You retain ownership of the website content, data, materials, and instructions you provide ("Your Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create derivative works from Your Content solely to provide, secure, and improve the Service for you, including by sending it to AI subprocessors to perform the work you request.

Output. Subject to your compliance with these Terms and to the rights of third parties and of AI providers, as between you and us we assign to you our rights, if any, in the content the Service generates specifically for you ("Output"). You are responsible for Output, including for reviewing it and ensuring you have the right to use it. AI Output may not be eligible for intellectual-property protection, may be unintentionally similar to other outputs, and may incorporate third-party material; we make no warranty as to originality, non-infringement, or protectability of Output.

Feedback. If you send us feedback or suggestions, you grant us an unrestricted, perpetual, royalty-free license to use them without obligation to you.

Service improvement and aggregated data. We may use telemetry and de-identified or aggregated data that does not identify you or your end users to operate, secure, analyze, and improve the Service. We do not use Your Content to train third-party foundation models, and our use of AI providers is governed by the Privacy Policy.

9. Privacy and data protection

Our collection and use of personal data is described in the Privacy Policy. Where you use the Service to process personal data for which you are the controller — for example, data about your own end users collected through the SDK or connected integrations — you are responsible for having a lawful basis and the necessary notices and consents, and our processing of that data on your behalf is governed by the Privacy Policy and any applicable data processing addendum we make available.

10. Disclaimers

In plain English. The Service is provided "as is". AI can get things wrong; you use the Service, and rely on its outputs and actions, at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS AND ACTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE, OR THAT ANY MARKETING, ADVERTISING, OR BUSINESS OUTCOME WILL BE ACHIEVED. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING YOUR RESPONSIBILITY FOR AUTHORIZED ADVERTISING SPEND, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). These limitations apply regardless of the theory of liability and form an essential basis of the bargain. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

You will defend, indemnify, and hold harmless 1mn and its affiliates, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or data; (b) your use of the Service or of any Output or action, including actions you authorized the Service to take; (c) your advertising, products, or claims; (d) your violation of these Terms, applicable law, or any third-party platform's terms; or (e) your processing of end-user or other personal data through the Service.

13. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access, in whole or in part, if you breach these Terms, create risk or possible legal exposure for us or others, or fail to pay, or as needed to comply with law or protect the Service. We may also discontinue the Service or any feature with reasonable notice where practicable. On termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 8–12, 14, and 16) will survive. We may delete your data after termination in accordance with the Privacy Policy.

14. Beta features and changes to the Service

We continuously develop the Service and may offer features identified as beta, preview, or experimental, which are provided "as is", may be changed or withdrawn, and may carry additional risk. We may add, modify, or discontinue features, loops, models, integrations, and automation behaviors at any time. New capabilities are governed by these Terms unless we present additional terms for them.

15. Changes to these Terms

In plain English. We'll update these Terms as the product grows. If a change materially affects you, we'll give notice; continuing to use the Service means you accept the update.

We may update these Terms from time to time, including to reflect new features, integrations, AI capabilities, or legal requirements. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice (for example, by email or in-product notice). Changes take effect when posted unless stated otherwise. Your continued use of the Service after an update constitutes acceptance. If you do not agree to an update, stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and the courts located in the State of Delaware, USA will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. You and 1mn will first attempt to resolve any dispute informally by contacting us at [email protected]. Nothing in these Terms limits any mandatory consumer rights you may have under the laws of your place of residence.

17. General

These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be given in-product or by email; notices to us should be sent to the contact below.
